When will the distribution of Newmark shares to shareholders of BGC Partners take place? How many shares of Newmark will each BGCP shareholder receive?

In the final prospectus filed by Newmark with the U.S. Securities and Exchange Commission (the “SEC”) on December 15, 2017, we stated: BGC Partners has advised us that it currently expects to pursue a distribution to its stockholders of all of the shares of our common stock that it then owns in a manner that is intended to qualify as generally tax-free for U.S. federal income tax purposes. The shares of our common stock that BGC Partners will own upon the completion of this offering will be subject to the 180-day “lock-up” restriction contained in the underwriting agreement for this offering. Please see the section on “Underwriting (Conflicts of Interest)” in the final prospectus. Further, there is no assurance that BGC Partners will complete the distribution. The distribution is subject to a number of conditions, and even though BGC Partners may distribute those shares in a tax-efficient manner to the stockholders of BGC Partners, BGC Partners may determine not to proceed with the distribution if the BGC Partners board of directors determines, in its sole discretion, that the distribution is not in the best interest of BGC Partners and its stockholders. Accordingly, the distribution may not occur on the expected timeframe, or at all. Please see the section on “Certain Relationships and Related-Party Transactions—Separation and Distribution Agreement—The Distribution” in the final prospectus.

The determination of whether, when and how to proceed with any such distribution is entirely within the discretion of BGC Partners. BGC Partners has not announced any decision regarding the cost basis, the record date of the distribution or the date of any potential spin-off.

BGC Partners and Newmark will announce any decision made in this regard through press releases and/or filings with the SEC.
